Terms of Service

These Terms of Service ("Terms") govern your use of the messaging automation services ("Service") provided by Zhito Systems ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Zhito Systems provides messaging automation tools for Instagram and Facebook business accounts, including:

• Unified inbox for managing direct messages and conversations
• Automated response capabilities based on user-defined rules
• Conversation history and message archiving
• Integration with Meta Platform via official APIs and Webhooks

The Service is intended for legitimate business communication purposes only.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be the owner or authorized administrator of the Facebook Page or Instagram Professional Account you connect
• Have the legal authority to bind the business entity to these Terms
• Comply with Meta Platform Terms and all applicable laws

3. Account and Access

3.1 Authorization

To use the Service, you must authorize access to your Meta accounts through Facebook Login. By doing so, you grant us permission to access data necessary for the Service to function, as described in our Privacy Policy.

3.2 Account Security

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.

3.3 Revocation

You may revoke our access to your Meta accounts at any time through Facebook Settings or by contacting us. Upon revocation, we will cease accessing your data and delete stored information according to our retention policy.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

• Send spam, unsolicited messages, or bulk automated messages that violate Meta policies
• Use the Service to harass, threaten, or abuse others
• Transmit malicious content, malware, or phishing attempts
• Violate Meta Platform Terms, Community Standards, or Commerce Policies
• Attempt to circumvent rate limits, security measures, or access controls
• Resell, sublicense, or provide access to the Service to unauthorized third parties
• Use the Service for any illegal activity or to violate any person's rights
• Impersonate any person or entity or misrepresent your affiliation

5. Meta Platform Compliance

Our Service operates through official Meta Platform APIs. You acknowledge and agree that:

• Your use of the Service is also subject to Meta Terms of Service and Meta Platform Terms
• Meta may change, suspend, or discontinue API access, which may affect Service availability
• We may modify or restrict features to maintain compliance with Meta policies
• If Meta requires us to delete your data or revoke access, we will comply

6. Intellectual Property

6.1 Our Rights

The Service, including its design, features, and underlying technology, is owned by Zhito Systems and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other proprietary assets.

6.2 Your Content

You retain ownership of all content you transmit through the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

7. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Unplanned technical issues or outages
• Changes to Meta Platform APIs or policies
• Force majeure events beyond our control

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, be error-free, or achieve any particular results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZHITO SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Zhito Systems, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights or applicable laws
• Content you transmit through the Service

11. Termination

11.1 By You

You may stop using the Service and revoke access at any time. Contact us to request account deletion.

11.2 By Us

We may suspend or terminate your access if you violate these Terms, Meta Platform Policies, or applicable laws. We may also terminate the Service or your access for any reason with 30 days' notice.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Data deletion will follow our Privacy Policy retention schedule, unless you request earlier deletion.

12. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the modified Terms. For material changes, we will provide notice via email or the Service interface.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration or the courts of competent jurisdiction.

14. General Provisions

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Zhito Systems.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
